TELLES advised Fabridoce - Doces Regionais, a leading company in the traditional Portuguese confectionery segment, in the process of restructuring and strengthening the company's capital through ActiveCap, as part of the Consolidate Programme of the Banco Português de Fomento.
The multidisciplinary TELLES team, led by Francisco Espregueira Mendes, Managing Partner of TELLES and head of the Corporate, M&A and Private Equity Team, and Abílio Rodrigues, partner in the Tax practice, included Nuno Marques, Counsel in the Corporate, M&A and Private Equity practice, Maria Isabel Saunders and Flávia Sampaio, associates in the same area, Maria José Aires Pereira, associate in the Tax practice, and Filipa Matias, associate in Public Law and Planning practice.
TELLES was involved in the entire process, from carrying out the due diligence on behalf of the investor, to advising on the restructuring of Fabridoce, negotiating the investment and shareholders' agreements, defining and implementing the terms of the corporate reorganisation, as well as all the many legal aspects of the transaction.
With this operation, Fabridoce - Doces Regionais will continue its strategy of expanding internationally and diversifying its product range, using innovative production methods and recipes that are in line with current consumer trends, and will become an important asset that will contribute to the development of the Portuguese economy.
Fabridoce has 130 employees and a turnover of ten million euros, with 20 per cent of its sales coming from exports to the United States and other European markets, particularly Spain and France.
